The Justice & Diversity Center’s (JDC) Community Organization Representation Project (CORP) recently hosted a workshop on “What Every Nonprofit Board Member Should Know.”
This free overview of a board member’s duties and obligations served both as an introduction for non-lawyers, and a refresher for attorneys who represent nonprofits or serve on boards.
For a group of 47 attendees, presenters Ingrid Mittermaier and Martha Lackritz, both of Adler & Colvin, discussed: director/officer fiduciary duties; nonprofit-specific duties and obligations on charitable trust law; asset management and conflicts of interest; limiting director and officer liability; navigating “insider” transactions; and keeping transparent and legally compliant records.
CORP assists with business law matters for nonprofits that serve low-income communities throughout Northern California. The organizations that attended the April workshop included groups that prevent child abuse and domestic violence, provide low-income families with subsidized child care, and legal assistance to low-wage and immigrant workers.
